Rachel E. Jackson Attorney Bio:

 

I have been practicing law since 2000.  I am an experienced corporate attorney and concentrate my practice in all aspects of business, including, start-up, partnership and shareholder related issues, business operations, business acquisitions, mergers, sales, contract drafting, reviewing and negotiating, leases, business negotiations, intellectual property protection, licensing and registration.

 

My clients are individuals and small and large businesses including game developers and publishers, software companies, pool companies, film companies, property investment companies, car dealerships, consulting companies, medical groups, clubs, restaurants, promoters, design firms and numerous other businesses.

 

I advise our clients on business and intellectual property matters. I have considerable experience in preparing and negotiating many different types of contracts, including buy-sell agreements; partnership agreements; shareholder agreements; limited liability company operating agreements; service contracts; releases and waivers; leases; software agreements; software licenses; employment agreements; compensation agreements; dissolution and liquidation agreements and asset purchase and sale agreements.

 

I received my J.D. from the University of Toledo College of Law in 2000, where I was a published member of the University of Toledo Law School, and where I started and headed the law school’s ACLU chapter.  I worked for the Toledo Public Defender’s Office in the felony department.  I received my undergraduate degree in Environmental Studies from the State University of New York at Buffalo.

 

I am admitted to practice law in the State of New York, and in the U.S. Western District Court of New York.

 

Michael Lee Jackson Attorney Bio:

 

I have been practicing law since 1989. My legal practice is focused on transactional law, negotiating and drafting contracts, entertainment law, intellectual property and licensing. Current clients include musicians, authors, electronic game publishers, record companies, film producers and a number of varied entrepreneurs. I am admitted to practice law in the State of New York, and in the U.S. Western District Court of New York.

 

During law school, at the State University of New York at Buffalo School of Law, I clerked with legendary civil rights lawyer, William M. Kunstler, and subsequently worked with Kunstler as co-counsel on many matters. In 1998, I received the Thurgood Marshall Award for pro-bono representation of an indigent defendant in a death-penalty case. After law school, I worked in commercial litigation for a large Buffalo firm, segued to a smaller firm a few years later, and have been working on my own and with my sister, Rachel, since 2005.

 

In 2008, I moved to Los Angeles, to work as Chief Operating Officer and Director of business affairs for the record company, Immergent, LLC, in which capacity I oversaw development of a digital music sales website. In 2010, I formed Room With a View, LLC, for the provision of consulting and music production services. Since December 2010, I have been Chief Operating Officer and head of business affairs for Kill The Messenger Audio Post, a post-production audio facility and music supervision company providing audio and music services for film and television, and in 2013 became a founder and partner in Devolver Digital Films, LLC, an independent film digital distribution company.

 

I am a lifelong musician and remain actively involved in the music business, both as a performer and recording artist, as well as providing management services for a very select number of artists.

 

I also toured internationally with the 10,000 Maniacs, and then extensively for Armed Forces Entertainment/USO with my group, Animal Planet, and have recorded, toured with and acted as creative manager for Ian Gillan, the singer from Deep Purple.
